Terms of Supply

1. Scope
These terms govern vehicle sourcing operations from Canada into the European Union carried out by Eurocan Global Imports SL ("EuroCan") on behalf of a professional dealership ("Client"). The Client confirms it is acting within its B2B commercial activity.
2. Service
EuroCan sources vehicles in Canada to the Client's specification, negotiates the purchase, arranges ocean freight, manages customs clearance, coordinates individual homologation and delivers the vehicle registered at the Client's dealership.
3. Fees
The management fee is a flat 5,000 EUR per vehicle, or 4,000 EUR when the Canadian purchase price is below 60,000 CAD. No percentages or hidden surcharges apply. Third-party costs (purchase, freight, insurance, duties, VAT, homologation, ITV, registration) are billed at cost with documentary evidence.
4. Payment
The Client pays 30% upon order signature and the remaining 70% before final delivery. Bank transfer in EUR. Late payment accrues interest per Spanish Law 3/2004 on commercial late payment.
5. Lead times and force majeure
Estimated lead times (7-day sourcing, 18–28 day transit, 10–15 day homologation) are indicative. EuroCan is not liable for delays caused by carriers, customs authorities, homologation labs or force-majeure events (strikes, weather, port restrictions).
6. Title and risk
Title transfers to the Client upon Spanish registration. Risk during ocean transit is covered by an all-risks marine policy with standard deductible; claims are handled through the insurer.
7. Warranties
EuroCan delivers vehicles with all required Canadian and European documentation and per the reduced technical record issued by the homologation lab. Manufacturer mechanical warranty (where applicable) is channeled through the official network. EuroCan grants no additional warranty for wear or use.
8. Liability
EuroCan's aggregate liability towards the Client is limited to the management fee charged for the operation. EuroCan is not liable for loss of profit, loss of opportunity or indirect damages.
9. Governing law and jurisdiction
These terms are governed by Spanish law. The parties submit to the Courts of Alicante, Spain, expressly waiving any other jurisdiction.
